Austevoll, 26 July 2024: Reference is made to the stock exchange announcement made by DOF Group ASA (the "Company", OSE ticker code "DOFG") on 2 July 2024 regarding an agreement to acquire Maersk Supply Service A/S (the "Transaction"), and on 5 July 2024 regarding an extraordinary general meeting to be held on 26 July 2024 (the "EGM"). The EGM was held today as a digital meeting with online participation. All proposals on the agenda were adopted, cf. the notice of the EGM that was published on 5 July 2024.

The EGM elected two new board members: Erik Bergöö as the vice chairperson of the board and Kristin H. Holth as a new board member. The elections are subject to, and apply for a period of two years from, closing of the Transaction. The new members of the board accede their positions at the time of completion of the Transaction. The board of DOF Group ASA will thus, following the completion of the Transaction, consist of the following persons:

Austevoll, 22 July 2024: Reference is made to the stock exchange announcement made by DOF Group ASA (the "Company", OSE ticker code "DOFG") on 2 July 2024 regarding an agreement to acquire Maersk Supply Service A/S (the "Transaction"), and on 5 July 2024 regarding the extraordinary general meeting to be held on 26 July 2024 (the "EGM").

The nomination committee of the Company has submitted its recommendation to the EGM. Subject to the Transaction being completed, the nomination committee of the Company has proposed to elect two new members to the board of directors, based on a proposal from Maersk Supply Services Holding ApS. The following board members are nominated:
- Erik Bergöö (nominated as vice chairperson of the board).
- Kristin Holth (nominated as new board member).

The new members of the board will, if elected, accede their positions at the time of completion of the Transaction.

In addition, the nomination committee of the Company has nominated Martin Larsen as the new chairperson of the nomination committee. The new chairperson of the nomination committee will, if elected, accede his position at the time of completion of the Transaction.

In connection with the extraordinary general meeting of DOF Group ASA (the "Company") to be held on 26 July 2024, Svein Harald Øygard, in his capacity as chair of the board of directors of the Company, has received proxies without voting instructions for 9,570,874 shares, representing 5.18% of the total number of shares and votes in the Company. The proxies received include 716 026 shares, representing 0,388% of the total number of shares and votes in the Company, held by Energy Investors AS, a close associate of Svein Harald Øygard. The proxies are only valid for the extraordinary general meeting on 26 July 2024.

DOF is pleased to announce multiple contract awards with Petrobras and a 1st Tier EPCI-SURF Contractor in Brazil.

AHTS Skandi Jupiter and AHTS Skandi Mercury, both under management contracts with DOF, have been contracted by Petrobras to operate as AHTS 230t BP after the same competitive tender process earlier this year that led to the contract of Skandi Amazonas, Skandi Rio and Skandi Botafogo.

Both Skandi Jupiter and Skandi Mercury are currently operating in the North Sea region and are planned to be mobilized to Brazil after modifications to comply with Petrobras requirements. Both contracts, with 3-year durations plus options, are scheduled to start by 2Q or 3Q 2025 but can be adjusted by mutual agreement.

Also in Brazil, Skandi Salvador, a Brazilian built and flagged MPSV equipped with 140t AHC crane and two WROVs, was chartered by a 1st Tier EPCI-SURF Contractor for a 180-day firm period plus options, to support their operations at Petrobras Pre-Salt fields developments. Contract commencement is immediately.

Skandi Salvador is currently operating for Petrobras at Libra as a MPSV with redelivery scheduled for the beginning of August. Geoholm has started the contract as a front runner until Skandi Salvador is released from her current commitments.

In parallel with the charter contract, the 1st Tier EPCI Contractor also awarded a Survey Services contract on board of both vessels to DOF Subsea Brazil.
