Following the acquisition of shares, Geveran owns 18,550,894 shares in the Company, representing a total of 10.04% of the Company's issued shares and voting rights (based on 184,708,991 shares issued by the Company).

DOF Group ASA - Cancellation of subsequent offering

Oslo, 7 October 2024: Reference is made to the stock exchange announcement from DOF Group ASA ("DOF" or the "Company") published on 3 July 2024 regarding the successful completion of a private placement raising NOK 1,064 million in gross proceeds at a price per share of NOK 99.00 (the “Private Placement”) and the contemplated subsequent offering of up to 2,014,943 shares at the same subscription price as in the Private Placement (the “Subsequent Offering”).

The Company’s shares have in recent months traded around or below the subscription price in the Private Placement at significant volumes. Following the announcement of the completion of the Private Placement, 31,835,698 of the Company's shares (i.e. more than 15 times the size of the Subsequent Offering) have traded at or below the Subscription Price on the Oslo Stock Exchange (the volume-weighted average price per share for this volume has been NOK 91.9121). Additionally, the closing price per share today (7 October 2024) on the Oslo Stock Exchange was NOK 93.50 (i.e. well below the Subscription Price).

Existing shareholders wishing to neutralize the dilutive effect of the Private Placement, have thus had the opportunity to purchase shares in the market at prices below the price which would have been the subscription price in the Subsequent Offering.

The Company’s board of directors has therefore resolved not to proceed with the Subsequent Offering. The board of directors have in this respect also taken into account that the proceeds from the Subsequent Offering will not be required to fund the contemplated acquisition of Maersk Supply Service A/S nor for general corporate purposes.

Following cancellation of the Subsequent Offering, the separate share issue directed towards Maersk Supply Service Holding ApS (“MSSH”) in connection with, and subject to completion of, the Subsequent Offering will also be cancelled.

DOF is pleased to announce a contract award for subsea decommissioning services in APAC.

The contract award includes project management, engineering, logistics support and execution of decommissioning activities utilising Skandi Hercules.  The offshore campaign will be conducted in Western Australian waters and is expected to commence in Q4 2024 for approximately 50 days.

The value of the contract is Limited, which DOF defines as a contract value below USD 15 million.

DOF Subsea (DOF) is pleased to announce a contract extension and a contract award securing further backlog for the APAC region.

A contract extension has been secured for Skandi Singapore with the vessel fully committed through Q4 2024 with further options available into Q1 2025.

In addition, the latest contract secured for the region will utilise Skandi Singapore and see the vessel deployed off the Australian coast during Q1 2024. The contracted scope includes project management and engineering, fabrication, field reconfiguration and installation activities associated with extending the production life of existing offshore facilities.

The Group's revenue for 2nd quarter (management reporting) totals USD 361 million (USD 330 million) and EBITDA totals USD 122 million (USD 121 million). The operating profit (EBIT) is USD 111 million (USD 128 million). Net financial costs amount to USD -91 million (USD -4 million) including unrealised currency loss of USD -62 million (USD 8 million). The result after taxes is USD 6 million (USD 103 million). The Group's net interest-bearing debt is USD 1,286 million (USD 1,444 million). The equity is USD 1,045 million (USD 725 million) giving an equity ratio of 35% (26%).

Key highlights in 2nd quarter:

- The Group has on 2[nd] of July signed an agreement to acquire all the shares in Maersk Supply Service A/S from Maersk Supply Service Holding A/S ("MSSH"). The acquisition will be settled partly in cash representing USD 577 million and partly in shares representing 25% ownership for MSSH.

- As part of the transaction the Company completed a private placement of in total USD 75 million in July.

- The Group achieved an EBITDA of USD 122 million (USD 121 million).

- The net profit of USD 6 million (USD 100 million) has been impacted by an unrealised currency loss of USD -62 million (USD 8 million). This is a non-cash accounting effect primarily due to consolidation of the BRL accounts in Norskan affected by a weaker BRL to USD in the quarter.

- The Group's cash flow from operating activities was USD 119 million (USD 75 million) in the quarter.

- The equity ratio has improved from 26% to 35%. The Net interest-bearing debt (NIBD) has been reduced from USD 1,444 million to USD 1,286 million and the NIBD/LTM EBITDA by end June is 2.7x (3.3x).

- The average utilisation of the fleet was 89% (88%) in the quarter.

- The performance has been good in the APAC and the Atlantic regions, but lower in Brazil due to class dockings, planned maintenance and mobilisation to new contracts in the quarter.

- The total current fleet consists of 57 vessels (incl. 14 vessels on management or hired in):

-- 16 AHTSs, 10 PSVs and 31 Subsea vessels.

- The order intake in 2[nd] quarter was USD 1.05 billion.

- Firm backlog by end June is USD 2.6 billion (USD 1.9 billion). Order intake after balance date is approximately USD 400 million.

- Updated EBITDA guidance for the year is USD 500-520 million.

The order intake has been high so far this year which gives good visibility on earnings in the next 24 months. We expect improved earnings in second half compared to first half due to i.a. Skandi Buzios being back on hire, Skandi Amazonas commencing a new 3-year contract after being partly off-hire, higher project activity in several regions, and certain one-off effects which impacted first half earnings. The updated EBITDA guiding is USD 500-520 million.

DOF Subsea is pleased to announce an agreement for the extension for the vessel Skandi Africa. The new commitment will now run until May 2028 and will commence in direct continuation with the current commitment.

Skandi Africa is a high-end subsea vessel designed for harsh environment and deepwater subsea construction and flexlay operations.

DOF Subsea CEO, Mons S. Aase, stated, "Skandi Africa is the most sophisticated vessel in our fleet and we are looking forward to continuing the journey, delivering successful installation campaigns."

DOF is pleased to announce a new long-term contract with Petrobras out of the last pipelay support vessel (PLSV) tender and an extension of the current contract for the PLSV Skandi Açu. The existing contract has been extended to mid-2026. This extension will be followed by the new 3-year contract ending mid-2029.

We are also pleased to advise that PLSV Skandi Buzios went back on-hire to Petrobras on August 1st, 2024.

Both vessels are owned by Techdof AS, a joint venture between DOF Subsea (50%) and TechnipFMC (50%).
