Financial Report 1st quarter for DOF Group ASA

The reporting currency has been changed from NOK to USD from 1st of January 2024.

The Group's revenue for 1st quarter(management reporting) totals USD 330 million (USD 295 million) and EBITDAtotals USD 114 million (USD 104 million). The operating profit (EBIT) is USD 70million (USD 69 million). Net financial costs amount to USD -52 million (USD-44 million) including unrealised currency loss of USD -26 million (USD -6million). The result after taxes is USD 6 million (USD -1 million). The Group’snet interest-bearing debt is USD 1,358 million (USD 1,466 million). The equityis USD 1,029 million (USD 592 million) giving an equity ratio of 34% (22%).

Key highlights in 1st quarter:
- Average utilisation ofthe owned fleet 87% (91%).
- Good performance in allthe regions.
- Two PSVs have been sold;Skandi Captain (built 2004) delivered in March and Skandi Gamma (built 2009)delivered in April.
- The total current fleetincludes 57 vessels (incl. 13 vessels on management or hired in):
-- 16 AHTSs, 10 PSVs and 31 Subsea vessels.
- DOF has been ranked with the 2^ndhighest score in the Petrobras PEOTRAM 2023 audit.
- The order intake in 1^stquarter was USD 188 million.
- The firm backlog by end March is USD1,852 million (USD 2,109 million) and order intake after balance date is approx. USD 250 million.

Statement from the CEO, Mons S. Aase: “We deliver another solid quarter despite a normal low season in certain regions. The Group has been awarded several contracts particularly for the AHTS and subsea fleet. The tender activity has continued to be high, hence, expect the backlog to continue to grow for the remainder of the year. The current contract coverage for the Group is 88% for 2024 and 61% for 2025 which gives good visibility on the earnings the next 18 to 24 months. The repair of Skandi Buzios is going according to plan and the vessel will be on route to Brazil during 2nd quarter. The recently published Integrated Annual Report for 2023confirms the Group’s commitment to continue having sustainable operations and reduce the CO2 emissions from the fleet going forward. The EBITDA guiding for2024 is adjusted from USD 470 -520 million to USD 490-520 million”.

On June 3, 2023, the Brazilian Federal Government published Law No. 14,611/2023, which established that any company with more than 100 employees would have to publish, every six months, starting in 2024, reports that demonstrate how the remuneration of men and women is composed percentages. This legislation aims to map the remuneration paid to men and women and especially the differences in salaries by gender, considering those employees who occupy the same position and perform the same function.

It is important to highlight that the information that makes up this report was taken by the Brazilian Federal Government itself from the E-social platform, and there is, therefore, no interference from companies in the preparation of these reports. The information presented is in percentages and there is no identification of employees or remuneration, in observance of the confidentiality of this type of information.

Thus, in compliance with the legislation and in compliance with the principle of transparency, DOF Subsea Brasil and Norskan are disclosing their respective reports.

Em 03 de junho de 2023, o Governo Federal publicou a Lei nº 14.611/2023, a qual estabeleceu que toda e qualquer empresa com mais de 100 funcionários teria que publicar, semestralmente, a partir do ano de 2024, relatórios que demonstrassem como estão compostos percentualmente as remunerações de homens e mulheres. A referida legislação tem por objetivo mapear as remunerações pagas a homens e mulheres e principalmente as diferenças de salários por gênero, considerando aqueles empregados que ocupam o mesmo cargo e exercem a mesma função.

É importante destacar que as informações que compõem esse relatório foram retiradas pelo próprio Governo Federal da plataforma do E-social, não havendo, portanto, qualquer interferência das empresas na elaboração destes relatórios. As informações apresentadas são em percentuais e, não há identificação de funcionários ou remunerações, em observância a confidencialidade deste tipo de informação.

Financial report 4th quarter 2023 for DOF Subsea AS

The Group's revenue for 4th quarter (management reporting) totals NOK 3,449 million (NOK 3,204 million) and EBITDA totals NOK 1,241 million (NOK 1,125 million). The operating profit (EBIT) of NOK 2,215 million (NOK 1,548 million) is highly impacted by reversal of impairment of NOK 1,479 million (NOK 687 million). Net financial cost amounts of NOK 139 million (NOK 223 million) include unrealised currency gain of NOK 372 million (NOK 1,047 million). The result after taxes is NOK 2,768 million (NOK 1,806 million). The Group’s net interest-bearing debt is NOK 13,883 million (NOK 19,915 million) and the book equity is NOK 10,522 million (NOK 364 million).

Key highlights:
- Another strong quarter, where the Group achieved an EBITDA of NOK 1,241 million (NOK 1,125 million) and a cash flow from operating activities of NOK 1,111 million (NOK 1,553 million).
- The annual EBITDA was NOK 4,949 million (NOK 3,764 million) and the cash flow from operating activities was NOK 4,090 million (NOK 3,777 million).
- By 31.12.2023 the equity ratio is 34% (1%) and NIBD/EBITDA 2.8 (5.4).
- The average utilisation of the owned fleet was 91% (88%) in the quarter.
- The markets in the Group’s regions are good and the activity in Asia-Pacific has particularly increased during the 4th quarter.
- The Group has chartered in the subsea vessel Maersk Installer on a 2-year firm charter to serve the increased demand in the subsea project segment.
- Three PSVs, have been sold in the quarter.
- The total current fleet includes 57 vessels (incl. 12 vessels on management or hired in):
-- 16 AHTSs, 11 PSVs and 30 Subsea vessels.
- In January, the DOF Group has been ranked among the best companies with the 2nd highest score in the Petrobras PEOTRAM 2023 audit and retained its A- score on the CDP Climate Change 2023.
- The order intake in 4th quarter is USD 147 million.
- Firm backlog by end December of USD 1,946 million.

The Group will report in USD from the 1st quarter 2024 and onwards.

Statement from the CEO, Mons Aase: “We deliver another solid quarter and are experiencing continued strong markets within all fleet segments, and I am especially pleased to see an increasing activity in the Asia-Pacific region. The Group has again achieved a high score in the Petrobras Peotram audit which is a confirmation of the high quality of our operations in Brazil. We expect the backlog to continue to grow due to several ongoing tenders. We see increased activity within the AHTS segment and expect more firm contracts going forward. The current backlog for the Group is 84% for 2024 which gives good visibility of the earnings in 2024. The EBITDA guiding for 2024 is in the range of USD 470-520 million”.

Reference is made to DOF ASA's (the "Company" or "DOF" and together with its subsidiaries the "Group") previous announcements on 22 June 2022 and 13 October 2022 regarding the financial restructuring process, and the announcement on 11 November 2022 regarding the voting result at the extraordinary general meeting held the same day ("EGM"). As a result of the failure to obtain approval of the proposed restructuring at the EGM and pursuant to the Group's obligations under the agreement with a substantial group of financial creditors and certain other stakeholders (the "Restructuring Agreement") on a comprehensive financial restructuring (the "Restructuring"), DOF will today petition for reconstruction proceedings with Hordaland district court (the "Reconstruction"). As previously communicated by the Company, the financial creditors of the Group have made it clear (i) that there is no room for the shareholders to negotiate a more favorable solution than the proposal that was presented to the EGM on 11 November 2022 whereby the shareholders was offered 4% of the share capital following the Restructuring and (ii) that the shareholders will not be offered more than 1% of the share capital following the Restructuring as part of the Reconstruction, unless otherwise agreed by the financial creditors. The board of directors is of the view that there is no other available solution that ensures the continued operations in the Group than the agreed Restructuring. It has also been made clear by the Group's financial creditors that implementation of the Restructuring must take place in accordance with the Restructuring Agreement. According to the terms of the Restructuring Agreement, DOF is in the current situation obliged to procure that the Reconstruction proceedings are opened. This is further substantiated by a letter from the creditors requesting Reconstruction to be opened promptly. The Board has also been in dialogue with the appointed advisor of the minority shareholders in order to provide the requested documentation. The Board has not received information which indicates that the minority shareholders have any viable alternative solution to the Restructuring. In preparation of the Reconstruction, and in order to secure the continued operations in the rest of the Group irrespective of the outcome of the Restructuring in the Company, the Company has transferred the majority of its business, assets and contractual liabilities to its wholly owned subsidiary DOF Services AS. The employees of the Company have, in accordance with the Restructuring Agreement, been transferred to the Company's wholly owned subsidiary DOF AS together with related third-party agreements necessary to operate the Group. The Group's operations are therefore expected to continue as normal both throughout the Reconstruction process and in the event of a subsequent bankruptcy in the Company. As previously communicated, creditors and contract parties other than the financial creditors party to the Restructuring will not be affected by the Restructuring. In light of continuous speculations among the minority shareholders of DOF questioning the principle of equal treatment of all the shareholders of the Company, and despite previous announcements confirming the same, the Company see once more the need to reiterate that the Restructuring proposal that was presented to the EGM provided for equal treatment of all the shareholders of the Company. The main shareholder in DOF has also confirmed that there is no agreement or arrangement regarding preferential treatment of the main shareholder compared to other shareholders irrespective of how the Restructuring is implemented. Det vises til DOF ASAs ("Selskapet" eller "DOF", og sammen med datterselskapene, "Gruppen") tidligere børsmeldinger henholdsvis 22. juni 2022 og 13. oktober 2022 vedrørende den finansielle restruktureringsprosessen, og børsmeldingen 11. november 2022 vedrørende avstemningsresultatet på den ekstraordinære generalforsamlingen avholdt samme dag ("Generalforsamlingen"). Som følge av manglende godkjenning av den foreslåtte restruktureringen på Generalforsamlingen og i henhold til Gruppens forpliktelser etter avtalen med en betydelig gruppe finansielle kreditorer og visse andre interessenter ("Restruktureringsavtalen") om en omfattende finansiell restrukturering ("Restruktureringen"), vil DOF i dag begjære rekonstruksjonsforhandlinger ved Hordaland tingrett ("Rekonstruksjonen"). Reference is made to the resolutions adopted in the bondholders' meetings in DOF Subsea AS' three bond loans (FRN DOF Subsea AS Senior Unsecured Bond Issue 2013/2020, DOF Subsea AS 9.50% Senior Unsecured Bond Issue 2017/2022 and FRN DOF Subsea AS Senior Unsecured Bond Issue 2018/2023) on 7 November 2022 (together the "Bond Loans"), whereby the bondholders on certain conditions approved to extend their waiver from, and suspension of, all payment obligations under each of the bond loans until 30 November 2022, with a possibility to further extend the standstill arrangement with the approval of the ad-hoc group of bondholders (the "Ad-Hoc Group"). DOF ASA AND DOF SUBSEA AS: FURTHER EXTENSION OF STANDSTILL PERIOD

DOF Group is pleased to announce multiple new contracts in Atlantic region and the long-term charter of the CSV vessel Havila Phoenix. The region has been awarded an Integrated Field Support Vessel (FSV) contract with an international operator in West-Africa. The contract is 365 days firm, with 365 days of options. DOF shall deliver project management, engineering, procurement and logistics within deep-water construction and maintenance of existing subsea infrastructure. The project shall utilise Skandi Seven for the contract. The region has also been awarded multiple FEED studies towards prospective floating wind developments in the Atlantic region. DOF shall use its project management, engineering and logistical expert teams to outline marine operation solutions, including mooring and dynamic cable installation. DOF is further pleased to announce the charter of Havila Phoenix on a 3-year firm plus 2-year option contract, with commencement in Q1, 2023. Havila Phoenix is a large and modern CSV, equipped with one 250-ton AHC offshore crane, one 20 -ton AHC offshore crane, 2 WROVs and a large construction deck. The vessel will be utilised within the DOF Subsea's project segment.
